- Oyo parent Prism cuts planned IPO nearly in half to INR 33.5 billion ($353 million).
- Strong cash generation reduces the need to raise a larger capital amount.
- Motel 6 acquisition shifts the group profile, accounting for half of gross bookings.
Prism, the parent company of hospitality platform Oyo, has significantly reduced its planned initial public offering by nearly half, lowering the target to INR 33.5 billion ($353 million) down from INR 66.5 billion ($702 million). The adjustment means the offering will retire roughly half the debt originally scheduled for repayment. Prism disclosed this strategic update on Thursday through an addendum to its updated draft red herring prospectus.
A person familiar with the matter revealed to Skift that Prism no longer requires as large of a capital raise as previously anticipated. According to the source, ongoing robust cash generation and an improving balance sheet have reduced overall funding requirements, allowing the company to focus on raising capital efficiently while meeting business needs.

Under the revised plan, INR 25 billion ($264 million)—representing about 75% of the proceeds—will be allocated to repay or prepay borrowings through its Singapore subsidiary, a decrease from the previously planned INR 49.8 billion ($525 million). The insider added that Prism expects to clear the remaining debt obligations using operating cash flow over the next two to three years.
This smaller public offering follows credit outlook upgrades to "positive" from both Moody's and Fitch. Moody's noted that Prism achieved positive free cash flow in fiscal 2026 for the first time following years of cash burn, alongside an EBITDA figure that more than doubled to approximately INR 26 billion ($274 million).
"With cash generation remaining strong and the balance sheet improving, the funding requirement has come down. The objective is to raise what the business needs while keeping the capital structure efficient."

Prism's decision to downscale its IPO highlights a prudent financial strategy amid evolving capital market conditions, supported by strengthening internal liquidity. Relying on operating cash flow to service remaining debt rather than aggressive equity dilution signals a shift toward sustainable balance sheet management following major international acquisitions.
This marks Prism's third attempt at a public listing, presenting a significantly transformed business compared to the Oyo-centric franchise model that initially filed in 2021 with a target valuation of $11 to $12 billion. Following the December 2024 acquisition of G6 Hospitality, Motel 6 now accounts for nearly half of the group's gross booking value. Furthermore, the upcoming offering consists entirely of new primary shares with no existing shareholders offloading their stakes.
