- TKO made a $2 billion all-cash bid for 92 Service Properties Trust hotels.
- The target hotel portfolio is roughly four times the size of TKO's existing business.
- TKO plans to spend $50,000 to $60,000 per room in capital improvements within the first 24 months.
- Service Properties Trust has not responded, declining to comment ahead of its November 5 earnings report.
Jim Koehler, CEO of South Dakota-based TKO (The Koehler Organization), shared the rationale behind his company's $2 billion all-cash bid to acquire the entire hotel portfolio of Service Properties Trust in his first public interview. He argued that the trust has underinvested in the properties for years and maintained that his firm has the capability to rectify those shortcomings.
The acquisition target encompasses 92 hotels with nearly 21,000 rooms, representing a portfolio roughly four times larger than TKO's own operations. According to CoStar data, TKO currently owns 44 hotels featuring slightly over 4,000 rooms, though Koehler noted that figure exceeds 5,000 rooms when incorporating equity stakes in other companies.

Regarding financing, TKO has not publicly detailed how it plans to fund the complete offer. However, Koehler stated that he offered to share his personal financial statement with the trust and holds "nine figures" in cash. Furthermore, he estimated that the properties would have required roughly $3 billion in capital expenditures since 2020 under other major franchisors' standards, contrasted against approximately $1.1 billion funded across all hotels from 2020 through 2025 according to the trust's SEC filings.

In an initial letter dated October 9, TKO initially required the trust to terminate Sonesta's management and franchise agreements prior to closing. Koehler subsequently dropped that condition on October 15, meaning the revised bid would involve TKO taking on roughly 17% of Sonesta's approximately 100,000-room system.
This aggressive acquisition attempt highlights the strategic ambitions of a smaller operator seeking rapid expansion through asset revitalization. However, executing a buyout of a portfolio four times its size raises significant questions regarding capital sourcing and operational integration, making the market closely watch how Service Properties Trust handles the proposal.
Koehler noted that the trust had not responded more than two weeks after his initial letter. Meanwhile, Service Properties Trust declined to comment, citing a quiet period ahead of its scheduled earnings report on November 5.
