Character.AI, one of the earliest breakout startups of the generative AI boom, has officially filed for bankruptcy and is selling a portion of its assets to Disney. The company builds various online bots for users to chat or roleplay with, and has faced mounting scrutiny and lawsuits regarding chatbot safety while continuing to release updates and new products in recent months.

In a press release and blog post published Monday, Character announced it filed for Chapter 11 bankruptcy protection in the United States to facilitate the sale of the business and its assets, listing estimated liabilities between $50 million and $100 million in the filing.

As part of the proposed transaction, Disney will serve as the lead bidder for Character.AI’s assets, setting a baseline for competing offers. Disney will pay $20 million for undisclosed assets and provide transition support utilizing former company employees it has hired, while also receiving a nonexclusive license to unspecified intellectual property.

Disney’s involvement follows the entertainment giant's hire of Character.AI’s former CEO Karandeep Anand as chief technology officer as part of its expanding push into AI. Anand’s tenure as CEO lasted just over a year, during which he oversaw the company's expansion into microdramas. Previously, Disney complained that Character was damaging its brand and exploiting intellectual property by allowing unauthorized character chatbots, and had sent cease and desist letters.

Disney's move to acquire assets and absorb technical talent from Character.AI highlights the growing trend of acquihiring in Silicon Valley. When startups face severe legal and financial hurdles, tech giants often step in to absorb key engineering talent and intellectual property rather than letting the company vanish entirely, echoing Google's previous multi-billion-dollar talent acquisition of Character's co-founders in 2024.

The company stated it expects the sale process to be completed by late November or early December, and plans to continue operating its services and paid subscriptions in the interim. However, management warned that the platform would be wound down if a suitable bid does not emerge.
